Terms of Service

These Terms of Service (“Terms”) are a legal agreement between Notion Tech Pty Ltd (ACN 698 318 124) (“Notion Tech Pty Ltd”, “we”, “us”) and the organisation or person that registers for or uses the Rosteryplatform (“you”, the “Customer”). By creating an account or using Rostery(the “Service”) you agree to these Terms. If you accept on behalf of an organisation, you warrant that you are authorised to bind that organisation.

1. The Service

Rostery is software for NDIS and disability service providers, including rostering, billing, compliance, electronic visit verification, medication and care-plan management, incident reporting and related tools. We grant you a non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, solely for your internal business purposes and in accordance with these Terms.

2. Accounts & users

You are responsible for your account, your authorised users, and all activity under your account, and for keeping credentials secure. You must provide accurate information and ensure your users comply with these Terms and our Acceptable Use Policy.

3. Your data and your responsibilities

As between you and us, you own and are responsible for the data you and your users enter into the Service (“Customer Data”). You represent and warrant that you have all necessary rights, consents and lawful bases to collect, upload and process Customer Data (including information about workers, participants, clients and their families) through the Service. You acknowledge and agree that you remain solely responsible for:

  • your compliance with the National Disability Insurance Scheme Act 2013 (Cth), the NDIS Practice Standards, NDIS Code of Conduct, incident-management and reportable-incident obligations, and all other laws applicable to your operations;
  • all clinical, care, medication and support decisions — the Service is an administrative tool and does not provide medical, clinical or professional advice;
  • the accuracy of rostering, timesheets, award/SCHADS interpretation, payroll, invoicing and NDIS claims produced with the Service, and verifying them before you rely on or submit them; and
  • obtaining any consents and giving any notices required for you to use the Service in your business.

Our handling of Customer Data is described in our Privacy Policy and Data Processing Addendum, which form part of these Terms.

4. Acceptable use

You must use the Service lawfully and in accordance with our Acceptable Use Policy.

5. Fees & billing

Paid plans are billed in advance on a recurring basis at the fees notified to you. Unless required by law, fees are non-refundable. You authorise us to charge your nominated payment method. We may change fees on reasonable notice, effective from your next billing period. Free trials convert to a paid plan only if you choose to subscribe.

6. Third-party & AI services

The Service integrates third-party services (including hosting, communications, payment and AI providers). Your use of those features may be subject to the third party’s terms. AI-assisted outputs are provided on an “as is” basis, may be inaccurate, and must be reviewed by a qualified person before being relied upon. We are not liable for third-party services or for your reliance on AI outputs.

7. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Notion Tech Pty Ltdand protected by law. These Terms grant you no rights in our trademarks or branding. You grant us a limited licence to host and process Customer Data to provide and improve the Service.

8. Confidentiality

Each party must keep the other’s confidential information confidential and use it only as needed under these Terms.

9. Availability

We aim for high availability but do not warrant that the Service will be uninterrupted or error-free. We may perform maintenance and will endeavour to minimise disruption.

10. Warranties & disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, and we exclude all implied warranties. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law (ACL) that cannot lawfully be excluded. Where our liability for a failure to comply with an ACL guarantee can be limited, it is limited (at our option) to re-supplying the Service or paying the cost of re-supply.

11. Limitation of liability

To the maximum extent permitted by law, and subject to clause 10: (a) neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill; and (b) our total aggregate liability arising out of or in connection with the Service and these Terms is limited to the fees paid by you to us for the Service in the twelve (12) months immediately before the event giving rise to the liability. We are not liable for loss caused by your breach of these Terms, your Customer Data, your use of AI outputs, or matters outside our reasonable control.

12. Indemnity

You indemnify Notion Tech Pty Ltdagainst claims, losses and costs arising from: (a) your Customer Data; (b) your or your users’ use of the Service in breach of these Terms or any law; (c) your failure to obtain required consents; or (d) your acts or omissions in delivering supports or meeting your NDIS and regulatory obligations.

13. Suspension & termination

You may cancel at any time; access continues until the end of the current billing period. We may suspend or terminate access for breach of these Terms, non-payment, or where required by law. On termination you may export your Customer Data for a reasonable period, after which we may delete it subject to legal retention requirements.

14. Changes to these Terms

We may update these Terms on reasonable notice. Continued use after changes take effect constitutes acceptance.

15. Governing law

These Terms are governed by the laws of New South Wales, Australia, and each party submits to the non-exclusive jurisdiction of the courts of that State.
